Course Description

This program provides a practical, foundational understanding of the legal and commercial aspects of International Trade Contracts. It is designed for business professionals, trade managers, and legal personnel who require proficiency in drafting, negotiating, and managing contracts for the cross-border sale of goods. The course focuses primarily on the United Nations Convention on Contracts for the International Sale of Goods (CISG), which serves as the principal governing law for global sales contracts.

Participants will gain essential knowledge of key contractual clauses and instruments, including: the critical importance of Incoterms (International Commercial Terms) 2020 in defining obligations and risk allocation; the role of various forms of Payment Security (e.g., Letters of Credit); and the legal implications of Breach of Contract and available remedies. The program also explores crucial mechanisms for Dispute Resolution typically found in trade contracts, such as choice of law and jurisdiction/arbitration clauses. By focusing on practical application and risk management, this course equips participants to effectively navigate the contractual complexities of international transactions.
